General Description:
This course provides an introduction to the law governing securities issuance and trading, including the operations of securities markets, and the activities secondary actors such as investment banks and broker-dealers. The course also addresses the purposes behind modern securities regulation, including investor protection, efficient allocation of capital, and promotion of good corporate governance. Materials for this course emphasize statutory and regulatory interpretation. Prereq of either LAWS 6211 or LAWS 7621. 3 credits, letter graded.
