Description: The course is designed to provide students with an understanding of the role of the business attorney in various corporate transactions, with an emphasis on choice of entity, entity-formation, financing, recapitalization and reorganization issues. The course will also provide practical tools, methods and planning techniques that will cross traditional legal subject matter boundaries. Although the course deliberately attempts to avoid mathematical calculations, students will walk away with an understanding of the basic business and economic aspects of various transactions.
